Terms of Service

1. Acceptance

When you check the acceptance box on the claim page, when you sign in, or when you use any part of Duezy, you agree to these terms. If you do not agree, do not use the service.

By accepting, you represent that you are an authorized treasurer or financial volunteer for the group you register, and that you have authority to bind that group to these terms.

2. What Duezy is and is not

Duezy is a web application that helps community groups keep a ledger of member balances, send balance reminders to parents, and accept payments from parents through Stripe Connect.

Duezy is not a bank. We do not hold, move, or store your group's money. Payments from parents flow directly from the parent to the group's Stripe account.

Duezy is not an auditor and is not a substitute for official group recordkeeping. We do not replace any reporting your group, your chartered organization, or your parent organization requires. You are responsible for following the rules that apply to your group.

3. Your account and your group

You sign in with a Google account. Keep that Google account secure. Anyone with access to your Google account can sign in as you.

You are responsible for the accuracy of the data you enter, including member names and any external IDs, ledger entries, payment descriptions, and any other content. We do not verify your data.

You may invite a co-treasurer. The co-treasurer can manage your group's ledger. You are responsible for who you invite.

4. Acceptable use

You agree not to:

• Impersonate a group you are not authorized to represent.
• Make false claims of treasurer authority or invite people you are not authorized to invite.
• Use the service for finances unrelated to a registered group.
• Scrape, copy, or republish other tenants' data, or attempt to access data that is not yours.
• Resell, sublicense, or rebrand the service.
• Attempt to bypass rate limits, authentication, or security controls.
• Use the service to harass anyone, to send spam, or to violate any law.

We may suspend or close accounts that violate this section.

5. Your data belongs to your group

The data you enter into Duezy belongs to your group. We are the custodian, not the owner. We use that data only to operate the service for you, and we follow our Privacy Policy when we handle it.

You can export your group's data at any time. Contact us at the address in section 16.

6. Payments through Stripe Connect

When parents pay your group through Duezy, the payment is processed by Stripe under a Stripe Connect Standard account. Your group is the merchant of record. Duezy is the platform.

Duezy takes zero percent of payments at this time. Stripe charges its own processing fee, which is set by Stripe and paid by your group out of each transaction.

If a parent disputes a charge, that dispute is between the parent and your group. We will provide reasonable assistance and the records we hold, but we are not a party to the dispute.

Stripe's own Services Agreement and Connected Account Agreement also apply to your use of payments. You agree to follow them.

7. Service availability

Duezy is in a validation period. We make a reasonable effort to keep the service available, but we do not promise any specific uptime, response time, or service-level guarantee. The service may be unavailable for maintenance, for changes we make, or because of problems with third-party providers we depend on.

8. Changes to the service

We may add features, change features, or remove features. If we plan to remove a feature you rely on, or to begin charging for a feature that is currently free, we will give you reasonable advance notice by email or through an in-app banner.

Duezy is free during the validation period. If we launch a paid tier in the future, we will give you at least thirty days notice before any charges begin, and we will not charge you without your consent.

9. Termination

You can stop using Duezy at any time. You can request export of your data and closure of your account by emailing us at the address in section 16. After closure, we will delete your data subject to the retention rules in our Privacy Policy.

We may suspend or close your account for the following reasons:

• You violate these terms or our acceptable-use rules.
• You fail to pay fees if and when a paid tier applies to your account.
• We are required by law, by Stripe, by Supabase, or by another processor we rely on.
• Continued operation of your account creates a real risk of harm to other users, to minors, or to us.

Unless an immediate suspension is needed to protect someone, we will give you notice and a chance to fix the problem before we close an account.

10. No warranties

Duezy is provided "as is" and "as available." We do not promise the service will be uninterrupted, error-free, secure against every threat, or fit for your specific purpose. We do not promise that the ledger, balances, or payment records will be accurate in every case. You are responsible for reviewing the data and reconciling against your own records.

To the maximum extent allowed by law, we disclaim all warranties, express and implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent allowed by law, our total liability to you for any claim arising out of or related to Duezy is limited to the greater of (a) the fees you paid us in the twelve months before the claim arose, or (b) one hundred U.S. dollars. This cap applies in the aggregate, not per claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost data, or reputational harm, even if we were warned that such damages were possible.

Some jurisdictions do not allow these limits. If a limit above is not allowed where you live, it does not apply to you, but every other part of these terms still applies.

12. Indemnification

You agree to defend, indemnify, and hold us harmless from claims, damages, and reasonable legal fees that arise from (a) your use of Duezy, (b) the data you enter, (c) your violation of these terms, or (d) your violation of any law or any third party's rights. We will tell you promptly about any such claim and let you control the defense, as long as you defend it in good faith.

13. Governing law

These terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Federal law also applies where it would normally apply.

14. Disputes

If you have a dispute with us, please email us first at tigercubs113@gmail.com. We will try in good faith to resolve the dispute within thirty days.

If we cannot resolve the dispute informally, either party may bring a claim in small-claims court in state or federal courts located in Floyd County, Georgia, if the claim qualifies. If the claim does not qualify for small-claims court, either party may bring it in a state or federal court of competent jurisdiction in state or federal courts located in Floyd County, Georgia. You and we both consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from seeking injunctive relief in court to protect intellectual property or confidential information.

15. Changes to these terms

We may update these terms. When we do, we will post the new version here with a new effective date. For material changes, we will also send you an email or show an in-app banner before the change takes effect. We track the version of the terms each account has accepted. If you keep using the service after a new version takes effect, you accept the new version.
